ChecklistEvidence appendix — the proof, not the story
The core plan is about 40 pages as written. This list is what goes in the evidence binder. Collect these. Do not paste them into the narrative, and do not pretend the binder is already 150 pages.
Three proofs. (1) Paparazzi Marketing Group LLC has operated since 2011 as a marketing company. (2) Recruited ICF manufacturing leadership, a prototype plan and offtake can make a new factory creditable — the manufacturer itself has not been named or formed. (3) The requested debt can be repaid from factory cash flow. If a document is missing, the file says missing — it does not invent factory history.
A. Proof the 2011 affiliate already operates
- Paparazzi Marketing Group LLC — federal business tax returns, last 2–3 years, all schedules
- Personal returns for 20%+ owners — same years
- Affiliate YTD P&L and balance sheet (within 120 days), preferably CPA-reviewed
- 24 months Paparazzi Marketing Group LLC bank statements
- A/R and A/P aging for the affiliate
- Existing debt schedule
- Ownership documents for both entities; affiliation chart
- EIN letters, licenses, certificates of insurance
- Sample invoices showing marketing, customer-acquisition and business-development work (not fake factory sales)
A2. Proof a manufacturer exists as a legal entity — only after counsel forms it
- If counsel forms a separate manufacturer: articles, operating agreement, EIN, cap table — dated the day it is actually formed, not backdated
- Opening balance sheet and bank account
- Written statement that production has not commenced and that no Paparazzi Manufacturing Group exists
B. Proof the expansion is technically and commercially credible
- Manufacturing Leadership Agreement with Terry Washington (CMO designate) — résumé, references, verification of ICF Manuco role
- Customer contracts, POs, and letters of intent for housing systems
- ICF / concrete / rebar sourcing documentation
- Equipment quotes matching the sources-and-uses schedule
- Vendor quotes for installation, utilities, and commissioning
- Factory / property documentation (deed, lease, landlord waiver)
- Architectural / site plans and production-line layout
- Product specifications for P-640, P-920, P-1180, P-1760 and The Bayou 2500 (P2500-BAYOU)
- Bayou 2500 designed BOM with internal SKUs (replace with vendor quotes)
- Equipment SKU register and collateral register (serials/VINs at invoice — not invented)
- Prototype file for the proposed manufacturer ICF Model 001 (when built)
- Management resumes and qualifying-party / license documentation
- Key employee offer letters or contractor agreements
C. Proof the debt can be repaid
- Detailed financial model (workbook) — base, conservative, severe
- Debt-service schedule at the proposed rate and term
- Affiliated-company financials (Paparazzi Marketing Group LLC)
- Personal financial statements — SBA Form 413 for 20%+ owners
- SBA Form 1919 (applicant and owners)
- Insurance binders (property, liability, workers’ comp; life on principal as required)
- Implementation timeline with draw schedule tied to equipment invoices
